Welcome to ScreenManager, a digital signage product designed to help you deliver engaging and dynamic content to your audience. ScreenManager provides a user-friendly platform for creating, managing, and displaying digital content on various screens, including TVs, monitors, and projectors.
These terms and conditions (the "Agreement") govern your use of the ScreenManager product and its services. By accessing or using the ScreenManager product, you agree to be bound by this Agreement. If you do not agree to these terms, you may not use the ScreenManager product.

Commercial Use Only
The services provided by ScreenManager are intended solely for commercial, business, and professional purposes. They are not for personal, household, or consumer use. If you are an individual user, you acknowledge and agree that you will only use our services for commercial purposes.
Any use of our services for non-commercial purposes is a violation of these Terms and Conditions. In the event that it is determined that you have used our services for non-commercial purposes, ScreenManager reserves the right to take any and all appropriate actions, including but not limited to terminating your account, discontinuing your access to our services, and pursuing legal action.
This clause is implemented to ensure the correct classification and handling of value-added taxes (VAT), sales taxes, and other related tax liabilities. You agree to bear sole responsibility for any and all tax liabilities resulting from your use of our services.
If you are uncertain about the appropriate use of our services, it is your responsibility to consult with a legal advisor or tax professional. ScreenManager is not responsible for any misuse of services and any potential legal or tax consequences that may result thereof.
Account Registration
To use the ScreenManager product, you must register for an account. By registering for an account, you agree to provide accurate and complete information about yourself and to maintain the confidentiality of your account information. You are responsible for all activities that occur under your account and password, and you agree to immediately notify ScreenManager of any unauthorized use of your account or any other breach of security.
Eligibility Criteria for Registration
To be eligible to register for a ScreenManager account, you must be at least 18 years old and have the legal capacity to enter into a binding agreement.
Process of Registration
To register for a ScreenManager account, you will be required to provide certain information, such as your name, email address, and a password. You may also be asked to provide additional information, such as your company name and billing information, depending on the subscription plan you choose.
Responsibility of the User for Maintaining Confidentiality of Account Information
You are responsible for maintaining the confidentiality of your account information, including your password, and for restricting access to your computer and devices to prevent unauthorized access to your account. You agree to accept responsibility for all activities that occur under your account or password.
Consequences of Violation of Terms
ScreenManager reserves the right to suspend or terminate your account and refuse any and all current or future use of the ScreenManager product if you violate any of the terms of this Agreement. ScreenManager also reserves the right to pursue any legal remedies available to it under applicable law for any violation of this Agreement.
Subscription and Payments
By subscribing to ScreenManager, you agree to pay the applicable subscription fees and any taxes that may apply to your use of the ScreenManager product.
Subscription Options
ScreenManager offers two subscription options: a monthly subscription and an annual subscription. The subscription fee for each option is listed on the ScreenManager website.
Process of changing a Subscription
If you add one or more screens, you need to manually update your subscription. This is also true when you remove one or more screens. We do not automatically lower the number of screens in your subscription, and it is up to you to take care of this. If you pay for more screens than you use, you are responsible for reflecting this in your subscription.
Trial Period
ScreenManager offers a 14-day free trial period for new users who sign up for a ScreenManager account. During the trial period, you will have access to all the features of the ScreenManager product. If you do not subscribe to ScreenManager before the trial period ends, your account will be suspended 24 hours after the expiration of the trial period and all your connected screens will show a trial expiration notice.
Automatic Renewal
All subscriptions automatically renew at the end of the subscription period unless you cancel your subscription before the end of the current subscription period. You will be charged the subscription fee for the next subscription period using the payment method you provided when you subscribed.
Cancellation of Subscription
You may cancel your subscription at any time by visiting the Subscription Management Page at https://client.screenmanager.tech/billing. Upon reaching the page, click on the "Update Subscription" button, and then select the "Cancel Plan" button to initiate the cancellation process. If you decide to cancel your subscription before the end of the current subscription period, your subscription will continue to be active and accessible until the end of that period.
Refunds
ScreenManager does not provide refunds for any subscription fees that have already been paid.
Payment Processing
ScreenManager uses Stripe for payment processing. By subscribing to ScreenManager, you agree to comply with Stripe's terms of service and privacy policy.
Subscription Changes
ScreenManager reserves the right to change the subscription fees and payment terms at any time. If ScreenManager changes the subscription fees or payment terms, it will provide you with notice of the change by email.
Usage and Content
ScreenManager provides a digital signage service that allows you to display various types of content on screens. You may use ScreenManager to upload and display images, videos, slideshows, and other types of digital content.
You are responsible for ensuring that the content you upload and display on your screens is legal, appropriate, and does not infringe on any third-party rights. You must obtain all necessary licenses, permissions, and consents for the content you upload and display on your screens.
ScreenManager reserves the right to remove any content that violates these Terms and Conditions or is otherwise deemed inappropriate or objectionable. We do not endorse, support, or guarantee the accuracy, completeness, or usefulness of any content uploaded or displayed on the ScreenManager platform.
You agree not to use ScreenManager for any illegal or unauthorized purpose, and you agree to comply with all applicable laws and regulations. You may not use ScreenManager to upload or display content that:
- Is pornographic or sexually explicit in nature
- Contains graphic violence or promotes violence
- Promotes or incites hatred or discrimination based on race, gender, sexual orientation, religion, or other personal characteristics
- Infringes on any intellectual property rights or other proprietary rights of any third party
- Contains viruses, malware, or other harmful software
You agree to indemnify and hold ScreenManager harmless from any claims, damages, or losses arising out of your use of the ScreenManager platform or your violation of these Terms and Conditions.
ScreenManager may, at its sole discretion, terminate or suspend your account or access to the ScreenManager platform if you violate these Terms and Conditions or engage in any conduct that ScreenManager deems inappropriate or harmful.
ScreenManager does not monitor the content you upload and display on your screens in any way. You acknowledge and agree that you are solely responsible for the content you upload and display on your screens.
Limitation of Liability
Warranties and Guarantees
ScreenManager provides its services on an "as is" and "as available" basis. We make no warranties or guarantees of any kind, express or implied, regarding the ScreenManager platform, its content, or its availability. We do not guarantee that the ScreenManager platform will be uninterrupted or error-free, nor do we guarantee the accuracy, reliability, or completeness of any information provided on the platform.
Liability for Damages, Losses, or Expenses
You agree that ScreenManager will not be liable to you or any third party for any direct, indirect, incidental, special, punitive, or consequential damages, losses, or expenses arising out of or in connection with your use of the ScreenManager platform or any content available on the platform. This includes, but is not limited to, any damages or losses arising from the use or inability to use the ScreenManager platform, or any interruptions, errors, or omissions in the platform or its content.
Indemnification of ScreenManager by the User
You agree to indemnify and hold ScreenManager, its officers, directors, employees, agents, and affiliates, harmless from any and all claims, damages, losses, liabilities, costs, and expenses, including reasonable attorneys' fees, arising out of or in connection with your use of the ScreenManager platform, your violation of these Terms and Conditions, or your violation of any applicable laws or regulations.
In no event will ScreenManager's liability to you or any third party exceed the amount paid by you to ScreenManager in the twelve (12) months preceding the event giving rise to the claim for damages.
These limitations and exclusions of liability apply to the fullest extent permitted by law, and shall survive any termination or expiration of these Terms and Conditions.
Intellectual Property
Ownership of Intellectual Property by ScreenManager
The digital signage services, the software, and all content, information, and materials on the ScreenManager website, including but not limited to logos, trademarks, service marks, text, graphics, images, videos, software, and other materials, are the property of ScreenManager or its licensors and are protected by copyright, trademark, and other intellectual property laws.
Protection of Intellectual Property Rights
ScreenManager respects the intellectual property rights of others and expects its users to do the same. Users must not copy, distribute, modify, or create derivative works of any copyrighted or trademarked material belonging to ScreenManager or any third-party without obtaining the prior written consent of the respective owners. Any unauthorized use or infringement of ScreenManager's intellectual property rights will result in legal action.
User-Generated Content
Users are solely responsible for the content they upload, share, or display on their screens using ScreenManager's digital signage services. By uploading or sharing content, users warrant that they have the necessary rights to do so and grant ScreenManager a non-exclusive, royalty-free, worldwide, and perpetual license to use, copy, distribute, and display such content on its platform.
Feedback
If a user provides any feedback or suggestions to ScreenManager regarding its services or software, ScreenManager may use such feedback or suggestions for any purpose without obligation or compensation to the user, including but not limited to improving its services, developing new features or products, and marketing.
Hardware and Devices
Responsibility of the user for hardware devices
The user is solely responsible for acquiring and maintaining any hardware devices such as TVs, monitors, players, etc. that are necessary to access and use the ScreenManager service. ScreenManager is not responsible for the compatibility of its service with any hardware devices or any issues arising from the use of such hardware devices.
Disclaimer of liability for hardware and devices
ScreenManager disclaims any and all liability for any damages, losses, or expenses that arise from the use or inability to use any hardware devices or any issues related to the hardware devices.
ScreenManager is not responsible for any damages, losses, or expenses resulting from the user's reliance on any advice, recommendation, or information provided by ScreenManager regarding the hardware devices.
Individual Quotes and Offers
ScreenManager can offer individual quotes and offers in different regions based on local requirements and regulations.
Governing Law
This Agreement and your use of the ScreenManager product will be governed by and construed in accordance with the laws of the Czech Republic, without giving effect to any principles of conflicts of law.
Dispute Resolution
Any disputes, controversies, or claims arising out of or relating to these terms and conditions or the ScreenManager service shall be resolved through negotiations in good faith between the parties.
Amendments and Updates to the Terms and Conditions
ScreenManager reserves the right to modify or amend these terms and conditions at any time without prior notice to the user.
The user's continued use of the ScreenManager service after any changes to these terms and conditions constitutes the user's acceptance of the new terms and conditions.
ScreenManager may provide notice of updates to these terms and conditions through its website, email, or other means.
The user is responsible for reviewing these terms and conditions periodically to ensure compliance with the current version. If the user does not agree to the updated terms and conditions, the user must stop using the ScreenManager service.
